Terms of Service

These terms govern use of the deepinference.co website and the Deep Inference services. Effective 5 September 2026.

1. Agreement

By using the website or the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind it, and “you” means that organization. Paid use of the Service is also governed by an order form or quote (“Order”); if an Order conflicts with these Terms, the Order controls.

2. The Service

Deep Inference provides inference serving and continuous optimization for open-weight machine-learning models, delivered as OpenAI-compatible endpoints operated in your cloud account or, when available, on capacity we operate. Features described as “coming soon”, “waitlist”, “beta” or “design partner” may change or be withdrawn and are provided without the Service Level Agreement unless an Order says otherwise.

3. Accounts and access

Keep API keys and credentials confidential. You are responsible for all activity under your keys. Notify us promptly at hello@deepinference.co of any unauthorized use.

4. Acceptable use

You will not: use the Service to violate law or the rights of others; send content you have no right to process; attempt to extract, copy or reconstruct model weights or our serving configurations; probe, circumvent or overload security or rate limits; or resell the Service without our written consent. You are responsible for complying with the license of any model you ask us to serve, including your own fine-tunes.

5. Your content and data

You own your inputs, outputs, models, weights and evaluation data (“Customer Content”). You grant us a limited license to process Customer Content solely to provide and secure the Service and as you instruct. We do not retain prompts or completions by default and do not use Customer Content to train models. Our Privacy Policy describes handling in detail.

6. Optimization changes

The Service continuously changes serving configuration — precision, kernels, batching, decoding, hardware placement — behind a stable endpoint. Every change is verified against the accuracy and latency objectives you configure before it serves production traffic. You may set tighter objectives or freeze a configuration at any time.

7. Fees

Fees are set in the Order. Unless the Order says otherwise, invoices are due within 30 days, amounts are exclusive of taxes, and overdue amounts accrue interest at 1% per month or the maximum lawful rate, whichever is lower. For deployments in your cloud, you pay your cloud provider directly for compute; our fee covers the stack and the optimization service.

8. Service levels

Availability commitments and service credits for paid dedicated endpoints are in the Service Level Agreement, which is your sole remedy for availability shortfalls.

9. Confidentiality

Each party will protect the other’s non-public information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and providers who need it and are bound by comparable obligations. Benchmark results about your workload are your confidential information; we publish them only with your written approval.

10. Intellectual property

We own the Service, our serving stack, kernels, agents, configurations and all improvements to them, including improvements informed by operating your endpoint, provided they contain none of your Customer Content. You receive no rights in them except the right to use the Service.

11. Disclaimers

Except as expressly stated in an Order, the Service is provided “as is”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Model outputs are generated by third-party open-weight models and may be inaccurate; you are responsible for evaluating them for your use.

12. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data. Each party’s total liability arising out of these Terms is limited to the fees paid or payable by you in the twelve months before the claim. These limits do not apply to breach of Section 9, infringement of the other party’s intellectual property, or your payment obligations.

13. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Content or your breach of Section 4. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual property, excluding claims arising from Customer Content or models you supplied.

14. Term and termination

These Terms apply while you use the Service. Either party may terminate an Order for material breach not cured within 30 days of notice. On termination we will stop processing and, on request, delete Customer Content in our possession within 30 days, subject to legal retention obligations.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and each party consents to their jurisdiction.

16. Changes

We may update these Terms by posting a new version here. Changes apply to new Orders immediately and to existing Orders at renewal, unless required earlier by law.
